Do you have a Company or Close Corporation? Is it still registered or has it been deregistered? Thousands of Companies and Close Corporations will be automatically deregistered at the end of March 2013.
If your company or close corporation has been deregistered this has fairly disastrous consequences for you if your home or the building from which you work is an asset in that legal entity. It now belongs to the State!
There is an obligation on Companies and Close Corporations to render annual returns to the Companies and Intellectual Property Commission (CIPC). Failure to do so may render that legal entity subject to deregistration with the consequences outlined above. It could mean that:
- You lose the property which you call your home
- You lose the property from which you conduct your business
- Contracts entered into by your company may be null and void. You would not be able to enforce contracts as the company would have no legal status.

All is not lost as the new Companies Act (section 82(4) read with Schedule 3, Part 8) provides that application can be made to reinstate the registration of both a company and close corporation if it was deregistered as a result of non-filing of annual returns. Such a reinstatement will have the effect of reviving the company or close corporation's rights and obligations.
However, when such an entity is the owner of immovable property, additional requirements are laid down: the written consent of both the Departments of Treasury and Public Works are to be obtained prior to lodging the application.
Since the process of transfer of any property owned or purchased by such entities are effectively stayed until such entity is reregistered, significant delays are to be expected when a deregistered entity is involved.
You would therefore be well advised to verify the status of your Company or Close Corporation with CIPC, as well as that of any entity you intend to transact with prior to entering into a contract for the sale of immovable property.

The storm whose effect we are still feeling in Hilton also ripped out a beloved old oak tree on the 
Howick, Hilton and parts of Pietermaritzburg were hit by a severe storm late yesterday afternoon resulting in widespread damage to homes, flooding, impassable roads blocked with trees and power outages. While the authorities are stretching themselves as far as possible to manage the situation it is heart-warming to see locals in Hilton getting on with clear up operations in so far as they can.
Grace College past pupil, Carmen Watson, was inducted as a member of Golden Key International Honour Society, based on truly exceptional academic performance at the University of Stellenbosch. Carmen will be graduating next year with a BComm in Financial Management and Marketing. She was nominated to attend the 2013 International Scholar Laureate Programme Student Delegation on Business in the USA.

The Karkloof Farmers' Market will be holding Carols by Candlelight on Tuesday Evening 11 December. The Market is open from 17h30-21h00 so come early to enjoy a meal from a variety of stalls and then come and sing along. The carols take place from 19h00-20h00. The evening is designed to be fun for the whole family with a sing along to some traditional carols so bring your picnic blanket and your best singing voice. The cost for the evening is R10 for adults and R5 for children, proceeds go to charity.

The new term at Toptots Hilton starts 21st January. Toptots is a Mother and Child workshop for little ones aged 3 months to 4 years. The focus is on all aspects of development, bearing in mind that by the age of 2, your toddler's brain is at 80% of it's adult size!
Morné Booysen completed his under graduate degree in Sport Science at Stellenbosch University. After graduating in 2003, he continued to do his Honours in Biokinetics at Zululand University in 2004, under the father of Biokinetics in South Africa, Professor Marius Coetsee. In 2005 he completed his internship year in Rivonia, Johannesburg under Biokineticist Stephan Muller. During this year this year he also worked for DBC, a spinal rehab company. Morné worked for them for two years on a consulting basis.
Shereen Da Costa is Maritzburg born, bred and schooled. Equipped with a secretarial diploma Shereen entered the corporate environment as a PA. While working full time she successfully completed her BA degree in Psychology and Sociology through UNISA.

The Heads of the School for 2013 were announced and we congratulate the following pupils on their election: Nicholas Merton (head boy), Dylan Molyneux (deputy head boy), Courtney Sharp (deputy head girl) and Chiara Ilett (head girl).
